This End-User License Agreement ("EULA" or "Agreement") is a legal agreement between you (either an individual or an entity, referred to as "you" or "Licensee") and OpX IQ ("we," "us," or "Licensor") governing your access to and use of the OpX IQ mobile application, web platform, and related services (collectively, the "Service" or "Software"). By creating an account, signing in, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and references to "you" apply to that organization as well.
Subject to your continued compliance with this Agreement, OpX IQ grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your organization's internal business operations during the term of your subscription or authorized access. This license permits use by your authorized users ("Authorized Users") who have been issued credentials by your organization's administrator.
OpX IQ and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No ownership interest is transferred to you under this Agreement.

You are responsible for the accuracy, legality, and appropriateness of all data you and your Authorized Users enter into the Service. You retain all rights to your business data. You grant OpX IQ a limited license to host, transmit, display, and process your data solely as necessary to provide and improve the Service.
You are responsible for configuring role-based access controls appropriately and for the actions of your Authorized Users. You agree to promptly notify us of any unauthorized use of credentials or any security breach affecting your account.
The Service is intended for professional, business use. You may not use the Service to process unlawful content, to infringe intellectual property rights, to send unsolicited communications, or to engage in any activity that could damage, disable, or impair the Service. We may suspend or terminate access for violations of this section.
The Service may integrate with third-party services such as Microsoft Office 365, Google Workspace, cloud file storage providers, accounting platforms, and communication tools. These integrations are governed by the respective third-party terms and may require your organization's own credentials and authorizations. OpX IQ is not responsible for the availability, accuracy, or conduct of third-party services.
Access to the Service may be subject to subscription fees agreed between your organization and OpX IQ. Fees, billing terms, and plan limits are set forth in your organization's order or agreement with OpX IQ. Unpaid fees may result in suspension of access. This EULA does not modify any separate fee or order terms you have agreed to.
This Agreement begins when you first use the Service and continues until terminated. You may stop using the Service at any time. We may suspend or terminate your access if you breach this Agreement, if your organization's account becomes inactive or unpaid, or if required to protect the Service or other users.
Upon termination, your right to use the Service ends. You may request an export of your data for a limited period after termination, after which we may delete your data in accordance with our retention practices and legal obligations. Provisions that by their nature should survive termination (including ownership, restrictions, and disclaimers) will remain in effect.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. OPX IQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE. YOU USE THE SERVICE AT YOUR OWN RISK. ANY ADVICE OR INFORMATION PROVIDED THROUGH THE SERVICE IS FOR INFORMATIONAL PURPOSES AND DOES NOT CONSTITUTE LEGAL, TAX, ACCOUNTING, OR FINANCIAL ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OPX IQ OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE. OPX IQ'S TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE FEES YOUR ORGANIZATION PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify and hold harmless OpX IQ and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your data, your Authorized Users' acts or omissions, your breach of this Agreement, or your violation of applicable law or third-party rights.
You acknowledge that the Service, including its features, design, and operational methods, contains proprietary and confidential information. You agree not to disclose or use such confidential information for any purpose outside the authorized use of the Service.
You are responsible for using the Service in compliance with all applicable laws, including labor, employment, tax, data protection, and financial reporting requirements relevant to your organization's jurisdiction. OpX IQ is a tool provider and does not determine the legal or tax treatment of your business data.
We may update this EULA from time to time. We will notify your organization of material changes by posting the updated agreement within the Service and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Agreement. If you do not agree to the changes, you may terminate your use of the Service as described above.
This Agreement is governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement or the Service shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
